IC Memo Studio

Recommendation, thesis, risks, conditions — from your own deal file, nothing invented.

How it works

Nothing to paste? — a lower-middle-market buyout of a dock-services company: real financials, LOI terms, a QofE still in fieldwork, a 22% customer, and a returns model that only works if the add-backs survive. Or see a saved memo rendered with no run and no charge: or .

1

Paste the deal file

Company overview, financials, LOI terms, diligence status, returns notes. The scanner sizes it up free in your browser: money figures, multiples, risk-shaped lines. No sign-in needed for that.

2

Say what the committee cares about

Mandate, check size, hurdles, and what this IC pushes on. The memo argues to that audience — and what the file does not show becomes a condition, never a guess.

3

Take it to committee

Recommendation up front, risks ranked with honest mitigants, conditions that are specific and checkable, and a figure-by-figure grounding check against your own file. Copy, email, or export.

Questions people ask before pasting a deal file

Does it invent numbers the deal file does not carry?

No. Every company fact, figure, multiple, term, risk and return in the memo has to come from the material you paste or the context you type. Revenue, EBITDA, IRRs and market sizes are never filled in from plausible guesses, the company’s own pitch language is not promoted into a diligence finding, and a gap in the file is named as a gap — usually as a risk or a closing condition. After the run the app cross-checks the memo’s figures — money, multiples and percentages — against your paste and flags any figure the file never carried.

What does Conditional proceed mean?

It means the file supports investing only if named conditions are met — and the memo must list them under Conditions & next steps as specific, checkable items: a QofE confirming the marketing EBITDA, concentration below a threshold at close, key-person insurance signed. A conditional yes with no conditions is a broken memo, and the app flags it as inconsistent rather than letting it through.

Do I have to sign in?

Not to size up a deal file. The scan — money figures, multiples, percentages, fiscal years, risk-shaped and returns-shaped lines — runs entirely in your browser, free, with nothing leaving the page. Writing the memo is a metered model run, so that step needs an account, and the reserve is shown before you press the button.

What if my deal file is very long?

Material over 60,000 characters is clipped from the middle, never the end — the company story at the top and the terms, returns and late findings at the bottom are both sent in full. The cut is announced in the material itself, so the memo reports the gap as unreviewed rather than guessing at what was in it, and the app tells you how much was removed.

What can I do with the memo afterwards?

Copy the whole memo, copy just the executive summary with the snapshot and recommendation, copy the conditions as a checkable to-do list, export the risk register as a CSV that imports into a tracker or a spreadsheet, download the memo as markdown, print it or save it as a PDF for the IC pack, or open a prefilled email to the committee that leads with the recommendation and the top risks (the full memo is copied for pasting, since mail links cap the body length). Every one of those is built in your browser from a result you already ran, so none of them costs another run. Past memos are kept on your account, and when the next diligence workstream lands you can reopen the previous draft of the same deal and see which risks are resolved, still open, or new.
